Introduction

A well done LLP Registration is just the beginning — it is the LLP agreement clauses within the partnership instrument that gives your LLP structure, clarity and protection. MANDATORY CLAUSES

While preparing for LLP Registration, certain clauses have to be made part of the LLP agreement to ensure that the entity runs without problems and defaults are minimized. The LLP Act and the relevant amendments also work as the fundamental guiding documents as to what needs to be included in the agreement. As such, important LLP Agreement Clauses that you have to include are:

● Name and Business Objective: The LLP legal name and what business activities will be allowed have to be stated. If the scope of business activities needs to be expanded in the future, the LLP agreement can be set up to allow such amendments.

● Registered Office: The address for the LLP registered office needs to be mentioned (along with the procedure for changing the registered office address).

● Partners’ Details & Contributions: The names, addresses, and identity proof details and the capital contributions of every partner (cash, services, and property) have to be stated.

● Profit & Loss Sharing Ratio: There needs to be a ratio, or formula, stated by which profits, or losses of the LLP, will be distributed between the partners.

● Rights, Duties, and Restrictions: The rights, and obligations of the partners (especially the designated partners) needs to be stated, as well as their powers and limitations.

● Designated Partners & Their Powers: State which partners will be designated partners and what are their powers, roles and duties (e.g. compliance filings, signing, and representation).

● Admission, Resignation, Retirement & Expulsion: Factors that guide the admission of new partners; the procedure and effect of the partner’s voluntary retirement, death, resignation, or expulsion.

● Transfer or Assignment of Interest: Whether a partner can assign, sell or transfer his interest in the LLP, and under what conditions or restrictions.

● Decision Making, Voting & Reserved Matters: How decisions are to be taken, voting weights, special majority or unanimous decisions for important matters, and what matters need consent.

● Indemnity & Liability Clauses: Indemnification obligations (LLP to indemnify partners and partners indemnifying LLP in certain situations), protections against claims, etc.

● Amendment Mechanism: How the LLP agreement itself can be amended — e.g. unanimous consent, filing with ROC, stamping etc.

● Accounts, Audit & Filings: Define accounting year, maintenance of books, audit requirement (especially after thresholds), annual return, statement of accounts & solvency (Forms 11 and 8) etc.

● Default Events & Remedies: Specify what a default entails (non‑payment, breach, misconduct) and outline potential consequences or corrective rights.

● Miscellaneous Provisions: Governing law, jurisdiction, notices, severability, waiver, entire agreement, counterparts, and interpretation among other miscellaneous provisions.

With the LLP (Amendment) Rules, 2023, additional disclosure is now required in Form 3 post LLP Registration (e.g. specifications if a partner is a body corporate). Moreover, under the Third Amendment Rules, 2023, new obligations focusing on registers of partners’ “beneficial interest” (type of contribution, nominee, date of becoming partner, etc.) are mandatory. Therefore, your LLP agreement clauses will need to accommodate the new disclosure and registration obligations.

PROFIT SHARING

LLPs must ensure fairness and sustainability via the internal distribution of profits (as well as losses). This is the reason the LLP Agreement Clauses pertaining to profits acquire greater importance.

● Fixed Ratio or Formula: Profits (and losses) can be distributed to partners at a predetermined proportion, or by a ratio based on capital contribution, seniority, performance, or other metrics.

● Interim Distributions: The agreement can stipulate interim payments (before the annual closing), subject to a final adjustment.

● Priority or Guaranteed Returns: Some partners (notably designated ones) might receive a minimum guaranteed return or “preferred return” prior to general allocation.

● Clawback / Adjustment: In the case of error or restatement, the contract can provide for a clawback or correction on prior distributions for adjustments that were made.

● Loss Sharing: Unless agreed upon otherwise, losses should be borne in the same proportions as the profits, or some partners may bear the losses in full or the capital accounts may be used.

Profit‑sharing is not always rigidly fixed; the agreement can allow variability, bonuses, performance incentives, or adjustments. However, in absence of any clause, the default provisions in the LLP Act or Schedule I will apply.

Since LLP Registration must be accompanied by Form 3 and the LLP agreement, the clause on profit sharing becomes a key component.

ROLES & DUTIES

● Meetings, Quorum & Voting: Define frequency, quorum, notice, voting weights, and how decisions are recorded.

● Removal or Resignation of Designated Partners: Guidelines on how to remove or replace designated partners, which involve their transition and duty handover.
